1. SWEEPSTAKES OVERVIEW/HOW TO ENTER. Entry into the Gwen Stefani Comment to Enter Sweepstakes (“Sweepstakes”) begins at 8:00 a.m. Pacific Time (“PT”) on June 18, 2018 and ends at 11:59:59 p.m. PT on June 25, 2018 (the “Sweepstakes Period”). Any entries received after the Sweepstakes Period will not be considered.

To enter, visit Zappos Facebook page or the Zappos Theater Facebook page (the “Website/s”), find the Gwen Stefani Concert/Zappos Theater post (“Entry Posts”), comment below the post and tell us your favorite Gwen Stefani song.

You must have a Facebook account and be logged into your account to enter. A Facebook account is free. Entrant must comply with all Facebook terms and conditions. You may enter the Sweepstakes only once during the Sweepstakes Period. Failure to provide true and accurate information will automatically disqualify you from participating in the drawing. Entering more than once during the Sweepstakes Period is prohibited and does not increase your chances of winning. Entries become the sole property of Zappos IP, Inc. (“Sponsor”) and will not be acknowledged or returned. Failure to comply with these instructions, fill in all of the required fields, or abide by these “Official Sweepstakes Rules” will result in disqualification. If more than one (1) entry is submitted, Sponsor will only consider the first entry submitted. Information collected from entrant from the Comments provided to enter may be used by Sponsor to notify you if you are a winner. Entry into the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects.

Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Sponsor and its agents are not responsible for lost, late, or misdirected entries, for technical, hardware or software failures of any kind, for lost or unavailable network connections, or for failed, incomplete, garbled or delayed computer transmissions or any human error that may occur in the receipt or processing of the entries. Proof of entering information at Website/s does not constitute proof of delivery or receipt. Sponsor reserves the right to modify the scheduling of the Sweepstakes without prior notification. Use of computer programs, macro, programmed, robotic, automatic and other similar means to enter the Sweepstakes is prohibited and may result in the disqualification of the entrant. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed to be submitted by the person in whose name the Instagram account is registered on the date the entry is submitted. The Websites’s database clock will be the official timekeeper for this Sweepstakes. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.

1. YOUR PRIVACY. Entries are treated pursuant to our Privacy Policy. See our Privacy Policy at: http://www.zappos.com/privacy-policy. Any information collected from entrants will not be shared with Facebook or Instagram.

2. THE DRAWING. The potential winner will be selected at a commercially reasonable time after the Sweepstakes Period in a random drawing from all eligible entries received by Sponsor, the judge of the Sweepstakes, whose decisions are final and binding on all matters relating to the Sweepstakes. Entrants need not be present to win. Sponsor will notify the winner at a time that is commercially reasonable thereafter. The potential winner will be tagged and notified in the Entry Post on the Website they entered on and information will be gathered via direct message on Facebook. The potential winner will have three (3) days to respond to Sponsor. In the event the potential winner does not respond within three (3) days of notification, Sponsor, in its sole discretion, may disqualify the potential winner and randomly choose an alternate potential winner from the remaining eligible entries. Entrants’ odds of winning depend on the number of eligible entries received. If a dispute arises over entitlement to the Prize (as defined below), the winner is the person to whom the Instagram account was assigned by the appropriate agency, internet service provider, business, or organization. Winner may be required to provide a valid, government-issued form of identification that matches the name under which the winner entered. If Prize, Prize notification or Sweepstakes-related communication is lost, rejected, faulty, or returned as undeliverable or if a winner cannot be reached after a reasonable attempt has been made by Sponsor (as determined by Sponsor in its sole discretion), that winner will be disqualified and an alternate potential winner will be randomly selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Sweepstakes Rules or declines the Prize for any reason prior to award, such potential winner will be disqualified and an alternate potential winner will be selected. If, for any reason, more bona fide winners come forward seeking to claim the Prize in excess of the number of each type of Prize set forth in these Official Sweepstakes Rules, the winners, or remaining winners, as the case may be, of the advertised Prize may be selected in a random drawing from among all persons making purportedly valid claims for the Prize. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.

3. THE PRIZES. Sponsor will award one (1) Grand Prize consisting of: (1) two (2) meet and greet tickets including a photo op (approximate retail Value (“ARV”) $2,000); (2) two (2) tickets to one of the 2018/2019 Gwen Stefani concerts scheduled at the Zappos Theater in Las Vegas (Grand Prize Winner to choose dates subject to availability) (ARV $450); (3) two (2) night stay at the Planet Hollywood hotel in Las Vegas for the Grand Prize Winner and one (1) guest (one (1) hotel room based on double occupancy) (accommodations to be booked by Grand Prize Winner) (based on availability) (ARV $728); (4) an airfare stipend of $1,000.00 for roundtrip coach air transportation for the Grand Prize Winner and one (1) guest to Las Vegas from a commercial airport near the Grand Prize Winner’s home (flights to be booked by Grand Prize Winner) (ARV $1,000); and (5) a $300 Zappos.com eGiftcard (ARV $300). Total ARV of the Grand Prize is $4,478.00. The stated ARV of the Grand Prize is based on available information provided to Sponsor.

4. PRIZE CONDITIONS. The Prize winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the Prize they receive. No cash redemption or Prize substitution allowed, except by the Sponsor, who reserves the right in its sole discretion to substitute cash value or another prize it believes is of equal or greater value. All Prizes are non-transferable and will be awarded. Each entry will have an equal chance of winning. There is a limit of one (1) Prize per person. Winner agrees to accept the Prize “as is”, and entrants hereby acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize, including, without limitation, to the Prize’s quality, merchantability or fitness for a particular purpose or express warranties (if any) provided exclusively by a supplier that are sent along with the Prize. Sponsor will not replace any lost or stolen Prizes.

The Grand Prize Winner must book flights and accommodations for themselves and their guest. If the Grand Prize Winner chooses flights or accommodations that exceed the stipend amounts of the Grand Prize, then the Grand Prize Winner shall be solely liable for paying the additional amount. The Grand Prize Winner must redeem the meet and greet tickets on the night of the concert he/she chooses to attend. The Grand Prize trip must be taken during the 2018/2019 Gwen Stefani concert dates at the Zappos Theater in Las Vegas or Grand Prize will be forfeited in its entirety and a replacement winner may be selected by Zappos from the remaining eligible entries, time permitting. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, lodging or other transportation companies or any other persons providing any of these services and accommodations necessitated by same. Grand Prize Winner and guest will be required to travel together on the same itinerary. Grand Prize Winner and guest are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsors have not and will not obtain or provide travel insurance or any other form of insurance. The Grand Prize Winner may be required to provide a credit card at the time of hotel check-in. Guest traveling with the Grand Prize Winner must be twenty-one (21) years of age at time of Grand Prize fulfillment. No refund or compensation will be made in the event of the cancellation or delay of any flight or performance, or Grand Prize Winner and/or his/her guest’s failure to attend the Gwen Stefani concert, except at the sole discretion of Sponsors. Sponsors reserve the right to substitute a prize that they deem, in their sole discretion, of equal or greater value. Travel is subject to the terms and conditions set forth herein, and those set forth by the Grand Prize Winner’s chosen airline carrier. Lost, stolen or damaged airline tickets will not be replaced or exchanged. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the Grand Prize Winner's and his/her guest’s transportation and such contracts shall be solely between the Grand Prize Winner, his/her guest and such transportation companies. Sponsors shall not be parties to such contracts and shall assume no responsibility in this connection. Sponsors shall not be liable for any loss, theft or damage of cash, cameras, jewelry, securities, heirlooms, negotiable papers or other valuables. Sponsors’ failure to enforce any term of these Official Sweepstakes Rules shall not constitute a waiver of that provision. The stated ARV of the Prizes is based on available information provided to Sponsors and the value of any prize awarded to the Grand Prize Winner will be reported for tax purposes as required by law. Actual value may vary depending on the dates of the Gwen Stefani concert that Grand Prize Winner chooses, and seating available on such dates. Grand Prize Winner will not receive the difference between actual and approximate retail value, if any. If, for whatever reason, the Gwen Stefani concert or any portion of it is canceled or changed, Sponsors shall be relieved of fulfillment of that component of the prize and no cash will be offered in lieu thereof.

Prizes are expressed in United States dollars. All federal, state or other tax liabilities (including income taxes) will be the sole responsibility of the Grand Prize Winner. Grand Prize Winner is solely responsible for any and all costs not specifically described as part of the prize, including, but not limited to, meals, incidentals, ground transportation from home to the airport, the airport to the hotel, to the Gwen Stefani concert, in and around the Las Vegas area, back to the airport the Grand Prize Winner and guest will be departing from and home, airline baggage and other fees, surcharges, personal charges at lodging, tips, and other expenses. Prizes cannot be transferred, assigned or redeemed for cash. The potential Grand Prize Winner and guest will be required to complete and return a declaration of eligibility and release of liability/publicity release within three (3) days of attempted delivery before receiving the prizes, along with a government-issued form of identification verifying that both are the age of majority in the jurisdiction in they reside. The potential Grand Prize Winner will also be required to provide a valid, government-issued form of identification that matches the name under which the potential winner entered and to complete and return to Sponsor an IRS W-9 form with a valid taxpayer identification number or Social Security Number (for tax reporting purposes) before receiving the Grand Prize. If any of the foregoing documents are not completed, signed and returned within the stated time period, or if a potential winner is found to be ineligible, or if he/she does not comply with these Official Sweepstakes Rules, the potential winner will be disqualified and an alternate winner will be randomly selected from the remaining eligible entries, time permitting. Except where prohibited by law, the Grand Prize Winner’s and Grand Prize Winner’s guest’s acceptance of the prizes constitutes agreement for Sponsors to use the Grand Prize Winner’s and Grand Prize Winner’s guest’s name, biographical information, city and state of residence, voice, statements, photographs, video, and likeness for advertising and promotional purposes on a worldwide basis without further notice or compensation.

1. ELIGIBILITY/GENERAL RULES. This Sweepstakes is only open to natural persons who are legal residents and physically located in one of the fifty (50) United States or the District of Columbia (excluding Puerto Rico, all U.S. Territories and Possessions and all Overseas Military Installations) and who are at least twenty-one (21) years of age as of the date of entry. Employees of Sponsor, its parent company, subsidiaries, affiliates, directors, officers, advertising and promotional agencies, their immediate family members (defined for these purposes as including spouses, parents, step-parents, children, step-children, siblings, step-siblings, and each of their respective spouses), and/or those living in the same household of each (whether legally related or not) are not eligible to enter or win. Void where prohibited by law. All federal, state and local laws and regulations apply. By entering and participating, entrant agrees to hold harmless, defend and indemnify (1) Sponsor, its parent company, subsidiaries and affiliates and the officers, directors, employees, advertising and promotional agencies of each such entity (“Sweepstakes Entities”); and (2) Facebook from and against any and all claims, demands, liability, damages or causes of action (however named or described), losses, costs or expenses, with respect to or arising out of or related to (i) entrant’s participation in the Sweepstakes, or (ii) entrant’s participation in any Prize-related activities, acceptance of a Prize and/or use or mis-use of a Prize (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)). The Sweepstakes Entities are not responsible for: (i) typographical errors and for misdirected or incomplete entries, (ii) for problems with telephone lines, computer systems or equipment, failure of e-mail, or (iii) problems with the Internet or entrant’s connection to it. If in our sole discretion Sponsor finds actual or suspected tampering with the promotion, or automated entries, or technical difficulties that affect an entry or the promotion, Sponsor reserves the right to void any entries and/or to change the promotion. If for any reason the Sweepstakes is not capable of running as planned, including infection due to computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right to disqualify any individual it finds who tampers with the entry process, operation of the Sweepstakes or Websites, and to cancel, terminate, modify, or suspend the Sweepstakes without notice and to select the winner from all eligible entries received prior to the cancellation or termination. The Sweepstakes Entities assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, problems or technical malfunctions of any computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of human error, technical problems or traffic congestion on the Internet or at any Website, theft or destruction, or unauthorized access to, or tampering with or hacking of Websites, any combination thereof, or otherwise, including any injury or damage to any entrant’s or any other person’s computer related to or resulting from participation in the Sweepstakes. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY ALTER OR DAMAGE ANY WEBSITES OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

2. GOVERNING LAW/JURISDICTION. The Sweepstakes and these Official Sweepstakes Rules are governed by and shall be construed in accordance with the substantive laws of the State of Nevada (as distinguished from the choice of law rules) and the United States of America applicable to contracts made and performed entirely in Nevada and where the relevant contacts are with such state. All applicable federal, state, and local laws and regulations apply. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Nevada. Except where prohibited, as a condition of participating in this Sweepstakes, each entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, the Prize awarded, or the determination of the winner shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-pocket expenses, and entrant further waives all rights to have damages multiplied or increased.

3. WINNER INFORMATION. For the name of the Prize winner, send a self-addressed, stamped envelope to Zappos IP, Inc., Gwen Stefani Comment to Enter Sweepstakes, Attn: Zappos Variable Marketing, 400 East Stewart Avenue, Las Vegas, Nevada 89101. Requests must be received no later than sixty (60) days after the close of the Sweepstakes Period.
